3. Software License Types

    • Transferability: Non-transferable

    • Machine Limit: As specified at purchase (typically 1-3 machines)

    • Term: Perpetual license with optional maintenance and updates

    • Personal License users certify that they will not:

      • Resell or sublicense access to the Software

      • Operate the Software as a commercial service for third parties

      • Use the Software in any application that violates Stripe’s Acceptable Use Policy

      • Offer generation services to others on a pay-per-use or subscription basis

  • 3.2 Enterprise License

    • Intended Use: Organizational and commercial use by multiple users within a single organization

    • Contract Required: Must be accompanied by a digital contract signed by both Tekno3D Labs LLC and the customer prior to usage

    • Activation: Online activation with custom hardware fingerprint allocation

    • Machine Limit: As specified in the signed contract

    • Term: As specified in the signed contract

  • 3.3 License Activation and Hardware Binding

    • Licenses are activated online and bound to specific hardware configurations.

    • Users may deactivate and reactivate licenses on different machines subject to the machine limit.

    • Significant hardware changes may require reactivation.

    • Tekno3D Labs LLC reserves the right to verify license authenticity.

  • 3.4 License Termination
    Tekno3D Labs LLC may immediately terminate or suspend your license without notice if:

    • You violate any provision of these Terms

    • You use the Software for illegal purposes

    • You attempt to circumvent license activation or protection mechanisms

    • Payment obligations are not met (for subscription-based licenses, if applicable)

4. Use Restrictions

You are specifically restricted from all of the following:

  • 4.1 Prohibited Actions

    • Publishing any website material or Software-generated output in any media if you do not own the rights or have appropriate authorization

    • Selling, sublicensing, renting, leasing, or otherwise commercializing any website materials

    • Selling, sublicensing, or redistributing the Software itself under any circumstances

    • Publicly performing or showing any website material without express permission

    • Using this website or Software in any way that is, or may be, damaging to Tekno3D Labs LLC, its reputation, or business operations

    • Using this website or Software contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to the website, the Software, or to any person or business entity

    • Engaging in any data mining, data harvesting, data extracting, or web scraping in relation to this website

    • Using the Software to process content you do not have legal rights to process

    • Circumventing, disabling, or interfering with license activation, security features, or usage tracking mechanisms

    • Using the Software on more machines than authorized by your license

    • Sharing your license credentials or activation keys with unauthorized parties

  • 4.2 Responsible Use
    Users must:

    • Ensure they have appropriate rights to all input materials

    • Comply with all applicable copyright, trademark, and intellectual property laws

    • Use the Software in accordance with all applicable local, state, federal, and international regulations

    • Take responsibility for all outputs generated using the Software

5. AI Model Use and Content Responsibility

  • 5.1 Incorporation of AI Model Disclaimer
    The Software utilizes third-party artificial intelligence models for enhancement, generation, and processing capabilities. All use of AI models through the Software is subject to the comprehensive “AI Model Use and Content Responsibility Disclaimer” which is incorporated into these Terms by reference and available at [link or “see Section 15 below”].

  • 5.2 Key AI-Related Responsibilities
    Users acknowledge and agree that:

    • The Software does not host, distribute, or provide any pretrained AI models.

    • AI models are downloaded from third-party repositories at user’s discretion.

    • Users are solely responsible for compliance with all third-party model licenses.

    • All AI-generated or AI-processed content is the sole responsibility of the user.

    • Tekno3D Labs LLC has no visibility into, control over, or liability for any user-generated content.

  • 5.3 Local Processing
    All AI model processing occurs exclusively on the user’s local hardware. Tekno3D Labs LLC does not operate as a hosted service, cloud platform, or generation-as-a-service provider.

6. Copyright and Intellectual Property Compliance

  • 6.1 Legal Use Only
    The Software is designed and intended for legal uses only. Users are strictly prohibited from using the Software to:

    • Process, enhance, modify, or distribute copyrighted content without appropriate authorization, licenses, or rights

    • Infringe upon any copyright, trademark, patent, trade secret, or other intellectual property rights

    • Create derivative works from protected materials without authorization

    • Violate any digital rights management (DRM) or technical protection measures

  • 6.2 User Responsibility for Copyright Compliance
    Tekno3D Labs LLC is not responsible for the actions of its users in using the Software to handle copyrighted, trademarked, or otherwise protected content. Users assume all legal and financial risks associated with their use of the Software.

  • 6.3 Digital Media Protection Commitment
    Tekno3D Labs LLC is committed to protecting digital media and enforcing the rights of content creators and copyright holders. Users are reminded that the Software must only be used in compliance with all applicable copyright laws and the rights of content holders.

  • 6.4 License Deactivation for Infringement
    If a user is found to be using the Software for:

    • Illegal redistribution of copyrighted material

    • Systematic copyright infringement

    • Violation of content creators’ rights

    • Any activity that exposes Tekno3D Labs LLC to legal liability

    Their license may be deactivated immediately without notice and without refund. Tekno3D Labs LLC reserves the right to cooperate with copyright holders and law enforcement in investigating suspected infringement. Licenses may also be terminated immediately if:

    • Our payment processor (Stripe or others) determines the license was purchased for prohibited purposes.

    • We receive credible reports of terms violations from users, law enforcement, or payment processors.

    • The user’s payment method is flagged for fraudulent activity.

    • Continued service would violate our payment processor agreements.

  • 6.5 DMCA Compliance
    Tekno3D Labs LLC complies with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been processed or distributed using our Software in a way that constitutes copyright infringement, please contact us with detailed information.

7. Prohibited and Restricted Content

  • 7.1 Strictly Prohibited Content
    Users may not use the Software to create, process, enhance, generate, or distribute:

    • Child Safety Violations:

      • Any material depicting, suggesting, or involving minors (persons under 18 years of age) in explicit, sexual, suggestive, or exploitative contexts.

      • Any content that sexualizes, endangers, or exploits children, whether derived from real imagery, fictional, or AI-generated.

    • Non-Consensual and Exploitative Content:

      • Deepfakes, face swaps, or synthetic media using the likeness of real, identifiable persons without explicit written consent.

      • Non-consensual intimate imagery.

      • Content designed to harass, intimidate, defame, or harm individuals.

    • Illegal Content:

      • Content that violates U.S. federal law, Wyoming state law, or the laws of the user’s jurisdiction.

      • Content promoting violence, terrorism, or illegal activities.

      • Content violating anti-discrimination laws or inciting hatred.

  • 7.2 Adult Content
    The Software may be capable of processing adult or sexually explicit content. Users who choose to process such content:

    • Must be 18 years of age or older.

    • Do so at their own risk and discretion.

    • Must ensure compliance with all applicable obscenity and decency laws.

    • Must ensure content depicts only fictional adult characters or consenting real adults with proper documentation.

    • Are solely responsible for distribution compliance with platform terms of service.

    • Does not include any user-generated content.

    • Does not include personally identifiable information beyond what is necessary for license management.

    • Can be disabled in Software settings (if applicable).

  • 9.4 Third-Party Services
    When the Software facilitates downloads from third-party repositories (e.g., Hugging Face, CivitAI), those services may collect data according to their own privacy policies. Tekno3D Labs LLC is not responsible for third-party data practices.

10. Refund Policy

  • 10.1 Pre-Purchase Resources
    Tekno3D Labs LLC provides extensive pre-purchase resources to ensure informed purchasing decisions, including:

    • Detailed software capabilities descriptions

    • Comprehensive tutorial videos and documentation

    • Sample outputs and demonstrations

  • 10.2 No Refunds After Activation
    Once a license is purchased and activated, refunds will not be offered. Activation of a license signifies that the customer has accessed and utilized the Software, thereby consuming the digital product.     Tekno3D Labs LLC makes no warranties regarding the quality, suitability, accuracy, or legality of any Software outputs.

  • 11.4 Third-Party Components
    The Software may rely on third-party components including:

    • ComfyUI and custom nodes

    • Python libraries and dependencies

    • AI model architectures

    • GPU drivers and frameworks

    Tekno3D Labs LLC is not responsible for defects, incompatibilities, or failures in third-party components.

  • 11.5 No Professional Advice
    Nothing contained on this website or in the Software shall be interpreted as providing legal, financial, technical, or professional advice. Users should consult appropriate professionals for specific guidance.

12. Limitation of Liability

  • 12.1 Complete Limitation
    TO THE MAXIMUM EXTENT PERMITTED BY LAW:
    In no event shall Tekno3D Labs LLC, nor any of its officers, directors, employees, contractors, affiliates, agents, or licensors be held liable for anything arising out of or in any way connected with your use of this website or Software, whether such liability is under contract, tort, strict liability, negligence, or otherwise.

    In jurisdictions that do not permit complete exclusion of liability, Tekno3D Labs LLC’s total aggregate liability for all claims shall not exceed the lesser of:

    • $100 USD, or

    • The amount actually paid by you for the Software license in the 12 months preceding the claim.

    • Your distribution or publication of Software outputs

  • 13.2 Defense Cooperation
    You agree to:

    • Cooperate fully with Tekno3D Labs LLC in the defense of any indemnified claims.

    • Not settle any claim without Tekno3D Labs LLC’s prior written consent.

    • Provide timely notice of any claims subject to indemnification.

  • 13.3 Right to Assume Defense
    Tekno3D Labs LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

14. Governing Law and Jurisdiction

  • 14.2 Exclusive Jurisdiction
    You submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for the resolution of any disputes arising out of or relating to these Terms or your use of the Software or website.

  • 14.3 Waiver of Jury Trial
    To the extent permitted by law, both parties waive any right to a jury trial in any proceeding arising out of or related to these Terms.

  • 14.4 International Users
    If you are accessing the Software or website from outside the United States:

    • You are doing so on your own initiative.

    • You are responsible for compliance with all applicable local laws.

    • Export control laws may apply to the Software and AI models.

15. General Provisions

  • 15.1 Entire Agreement

    • The AI Model Use and Content Responsibility Disclaimer (Section 16 below)

    • Any applicable Software License Agreement

    • Our Privacy Policy (if separate)

    Constitute the entire agreement between you and Tekno3D Labs LLC regarding the subject matter and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

  • 15.2 Severability
    If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

    • Such provision shall be modified to the minimum extent necessary to make it enforceable.

    • If modification is not possible, the provision shall be severed.

    • The remaining provisions shall continue in full force and effect.

    • The invalid provision shall be replaced with a valid provision that most closely matches the intent.

  • 15.6 Modifications to Terms
    Tekno3D Labs LLC reserves the right to modify, update, or replace these Terms at any time at its sole discretion. Changes will be effective immediately upon posting of updated Terms on the website. You are responsible for reviewing these Terms periodically. Your continued use of the Software after changes constitutes acceptance of modified Terms. Each version will be marked with a version number and “Last Updated” date.

    Provisions that by their nature should survive termination shall survive, including but not limited to:

16. AI Model Use and Content Responsibility Disclaimer

This section constitutes a binding part of these Terms and Conditions.

  • 16.1 Purpose and Scope of AI Functionality
    Tekno3D Labs LLC provides the Software as a general-purpose artificial intelligence enhancement, generation, and processing tool intended solely for lawful, creative, research, and personal use. The Software itself does not contain, embed, host, distribute, or provide any pretrained AI models, datasets, or generated media content. The Software functions exclusively as a user interface and workflow automation tool that operates entirely on the user’s local hardware.

  • 16.2 Third-Party Model Access and Downloads

    • 16.2.1 External Model Repositories
      The Software may, at the user’s express direction and discretion, facilitate the download or local caching of machine learning models from publicly available third-party repositories, including but not limited to:

      • Hugging Face

      • CivitAI

      • OpenModelDB

      • GitHub repositories

      • Other publicly accessible model hosting platforms

    • 16.2.2 No Hosting or Distribution by Company
      Tekno3D Labs LLC does not:

      • Host any AI models on our servers.

      • Distribute AI models through our infrastructure.

      • Curate, verify, validate, or endorse third-party models.

      • Control the availability, licensing, or terms of third-party models.

      • Maintain any relationship with model creators or hosting platforms.

      • Guarantee the continued availability of any third-party model.

      All models, weights, datasets, and related materials are provided by independent third parties under their respective licenses, terms of use, and conditions.

    • 16.2.3 Third-Party Model Licensing
      Users acknowledge and agree that:

      • a) License Compliance is User’s Sole Responsibility: Third-party AI models may carry specific usage restrictions, including but not limited to:

        • Commercial vs. non-commercial use limitations

        • Prohibitions on redistribution, resale, or sublicensing

        • Restrictions on service hosting, API provision, or multi-user platforms

        • Attribution requirements

        • Derivative work limitations

        • Geographic or jurisdictional restrictions

        • Ethical use guidelines or content restrictions

      • b) No Warranty of Licensing Status: Tekno3D Labs LLC makes no representations or warranties regarding:

        • The legal status, validity, or enforceability of any third-party model license.

        • The accuracy or completeness of any stated license terms.

        • The authority of any party to license a particular model.

        • The suitability of any model for user’s intended purpose.

        • Whether any model is “open source,” “free,” “unrestricted,” or commercially licensed.

        • The absence of intellectual property conflicts or infringement claims.

      • c) User Must Independently Verify: Before using any third-party model, users are solely responsible for:

        • Reviewing all applicable license terms and conditions.

        • Determining whether their intended use complies with such terms.

        • Obtaining any necessary permissions, authorizations, or commercial licenses.

        • Consulting legal counsel when uncertain about licensing obligations.

        • Assuming all legal, financial, and reputational risks of non-compliance.

      • d) Model License Variations: Users acknowledge that different models may have conflicting or incompatible licenses. It is the user’s responsibility to ensure their workflow complies with the most restrictive applicable license.

    • 16.2.4 Good Faith Effort and Open Access Interpretation
      Where Tekno3D Labs LLC has made reasonable, documented good-faith efforts to contact model creators regarding licensing terms without receiving a substantive response within 30 days, and where such models are:

      • Publicly hosted on open-source or community model repositories without access restrictions.

      • Distributed without technical access controls (e.g., no authentication required).

      • Not accompanied by clear, conspicuous, and legally enforceable license documentation.

      • Not subject to verified commercial licensing agreements or exclusive distribution rights.

      The Company and its users may reasonably interpret such models as available for use consistent with the prevailing norms, customs, and practices of the open-source AI community, specifically for local, non-hosted, non-service applications such as this Software. However, users remain solely responsible for their own legal compliance, risk assessment, and any consequences of use. This interpretation does not constitute legal advice and does not guarantee immunity from future licensing claims or disputes.

    • 16.2.5 Documentation of Contact Attempts
      For certain models integrated into suggested workflows or referenced in documentation, Tekno3D Labs LLC may have attempted to contact creators through:

      • Email addresses listed in model repository metadata

      • Contact forms on creator websites or profiles

      • Public social media or community forum outreach

      • Repository issue trackers or discussion threads

      Documentation of these contact attempts is maintained internally for Company records but does not constitute legal advice, a guarantee of licensing compliance, or an assumption of liability for user’s model usage. Users are encouraged to perform their own due diligence and contact attempts.

  • 16.3 Nature of Service: Local Application, Not Hosted Service

    • 16.3.1 Local Operation Only
      This Software operates exclusively as a local application on the user’s own computing hardware. Tekno3D Labs LLC does not:

      • Provide cloud-based generation, enhancement, or processing services.

      • Operate multi-user generation platforms or marketplaces.

      • Host models on central servers for remote access by users.

      • Facilitate “generation as a service” (GaaS) to third parties.

      • Maintain centralized processing infrastructure for user jobs.

      • Offer API access to models for external users or applications.

      • Function as a model hosting platform or repository.

    • 16.3.2 User-Controlled Processing
      All AI model processing, content generation, enhancement, and data handling occur entirely on the user’s local machine using the user’s own computational resources (CPU, GPU, RAM, storage). The Software merely provides:

      • A user interface to facilitate local operations.

      • Workflow automation and convenience features.

      • Integration with local ComfyUI installations or similar frameworks.
